Terms of Service

These Terms of Service (“Terms”) govern the provision of professional services by iPaaS Central (“Company,” “we,” “us,” or “our”) to our clients (“Client” or “you”). By engaging our services or accessing our website, you agree to these Terms.
1. Scope of Services
iPaaS Central provides professional services including, but not limited to:
- Systems integration and automation consulting
- Integration architecture and workflow design
- Configuration and implementation of iPaaS and SaaS platforms
- Advisory, enablement, and digital transformation support
- Training, documentation, and educational resources
All services are provided on a professional services basis and are performed in alignment with client-defined requirements, approved architectures, and agreed-upon statements of work (“SOWs”).
2. No Hosting or Platform Ownership
iPaaS Central does not:
- Host client applications, infrastructure, or data
- Provide platform licensing
- Own or operate third-party platforms or systems
All third-party platforms, including iPaaS, SaaS, cloud services, APIs, and connectors, are owned, hosted, and governed by their respective providers.
3. Client Responsibilities
The Client is responsible for:
- Providing accurate requirements, business rules, and approvals
- Granting appropriate system access and credentials
- Maintaining governance, security, and compliance controls
- Oversight of production environments and operational decisions
- Ensuring compliance with applicable laws and regulations
4. Data Access and Security
iPaaS Central may access Client systems and data solely to perform agreed services using credentials provided by the Client.
- We do not claim ownership of Client data
- We do not permanently store Client production data unless contractually required
- Access is limited to what is reasonably necessary to perform services
5. Advisory and Professional Judgment
Our services involve professional judgment and technical recommendations based on available information at the time of engagement.
We do not guarantee:
- Business outcomes
- Cost savings or revenue increases
- Regulatory approval
- Platform or system performance
6. Training, Documentation, and Educational Materials
Training materials, documentation, videos, and guides are provided for educational and enablement purposes only.
- Clients remain responsible for how training materials are applied
- Training does not replace governance, security, or operational oversight
- iPaaS Central is not responsible for independent client use of materials
7. Third-Party Systems and Integrations
Integrations are implemented using supported APIs and access provided by Clients. iPaaS Central is not responsible for:
- Third-party outages, changes, or deprecations
- Vendor security incidents
- Platform updates outside our control
8. Limitation of Liability
To the maximum extent permitted by law, iPaaS Central’s total liability shall not exceed the fees paid for the applicable engagement. We shall not be liable for indirect, incidental, or consequential damages.
9. Indemnification
Client agrees to indemnify and hold harmless iPaaS Central against claims arising from Client misuse of integrations, violations of law, inaccurate requirements, or unauthorized actions using Client credentials.
10. Intellectual Property
- Clients retain ownership of their data and systems
- iPaaS Central retains ownership of pre-existing tools, templates, and methodologies
- Client deliverables may be used internally for their intended purpose
11. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed during the engagement unless required by law.
12. Termination
Either party may terminate services in accordance with the applicable SOW. Fees for services rendered prior to termination remain payable.
13. Governing Law
These Terms are governed by the laws of the state in which iPaaS Central is organized, without regard to conflict-of-law principles.
14. Entire Agreement
These Terms, together with any applicable SOWs, constitute the entire agreement between the parties regarding services.
